Affiliate Referral Program Terms & Conditions

These Affiliate Referral Program Terms & Conditions (these “Terms”) govern your participation in Doctours’ (“Doctours”, “Company”, “us”, “our”, “we”) referral program (the “Program”). By participating as an Affiliate, you agree to these Terms.
1. Definitions and Relationship
1.1. Affiliates: Individuals or entities enrolled in the Program to refer customers to Doctours.
1.2. Independent Contractors: Affiliates are independent contractors. Nothing in these Terms creates an employment, agency, franchise, or joint venture relationship between Doctours and the Affiliate. Affiliates have no authority to act on behalf of or bind Doctours beyond what is stated in these Terms.
2. Eligibility and Enrollment
By enrolling as an Affiliate, you represent that you are legally capable of entering into binding contracts. Doctours reserves the right to refuse participation or terminate your participation at any time, with or without cause.
3. Referral Links and Participation
3.1. Referral Links: You will be provided with one to five unique referral links to promote Doctours. These links track impressions, engagements, bookings, and generated revenue.
3.2. Promotion Guidelines: You agree to promote Doctours in a manner that is reasonably positive. Negative or defamatory content is prohibited. Doctours reserves the right to pursue legal action for defamatory or infringing content.
3.3. Intellectual Property Use: You may use Doctours’ trademarks, logos, and approved creative assets solely for promoting Doctours. You may not sell or market your own products or services under the Doctours name, logo, or branding.
4. Compensation and Payment
4.1. Commission Structure: You may earn up to $200 USD per referral cycle, depending on the referred customer’s basket size.
4.2. Payment Requests: You are responsible for initiating a withdrawal (“cash out”) request within the Doctours platform. Payments are not automated unless otherwise arranged.
4.3. Payment Methods:
- U.S. Affiliates: Bank transfer, check by mail, gift cards, or online payments (e.g., CashApp, Venmo, PayPal).
- International Affiliates: PayPal, if supported in your country. If PayPal is not supported, you must contact Doctours to discuss alternative arrangements, subject to our approval.
4.4. Taxes and Fees: You are responsible for any taxes, duties, or fees associated with receiving and reporting your earnings. Doctours may withhold amounts required for tax compliance.
5. Tracking and Reporting
5.1. Dashboard Access: You will have access to a dashboard with estimated impressions, engagements, bookings, and revenue data.
5.2. Data Accuracy: While we strive for accuracy, ad blockers, technical issues, or platform updates may affect reported metrics. Reported data is an estimate and may not be perfectly accurate.
5.3. No Third-Party Tracking Required: You do not need to track referrals independently. Doctours’ tracking systems are the sole source of truth for determining commissions.
6. Confidentiality and Restrictions
6.1. Confidential Information: You will not have access to personally identifiable customer information (PII).
6.2. Earnings Confidentiality: You must keep details of your earnings confidential and not share such information with competitors or other Affiliates.
6.3. Use of Non-Public Information: Do not disclose any non-public information about Doctours except as allowed by these Terms.
7. Term and Termination
7.1. Duration: This partnership remains in effect as long as your referral links are active.
7.2. Inactivity: Three (3) consecutive months of inactivity may result in automatic deactivation of your referral codes unless otherwise arranged.
7.3. Voluntary Termination: You may deactivate your account and end your participation at any time.
7.4. Termination by Doctours: Doctours may terminate your participation at any time, with or without cause, effective immediately upon notice.
8. Brand Integrity and Legal Compliance
8.1. Positive Representation: You agree to promote Doctours in a manner that does not harm our reputation or relationships with customers.
8.2. Defamation and Disparagement: Avoid making false or defamatory statements about Doctours. Violations may lead to termination and legal action.
8.3. Compliance with Laws: You must comply with all applicable laws, regulations, and industry guidelines, including FTC disclosure requirements.
9. Indemnification and Liability
9.1. Indemnification: You agree to indemnify and hold harmless Doctours, its officers, employees, and agents from any claims, damages, or liabilities arising from your breach of these Terms or violation of applicable laws.
9.2. Limitation of Liability: To the fullest extent permitted by law, Doctours is not liable for any direct, indirect, incidental, special, or consequential damages arising out of your participation in the Program.
10. Dispute Resolution
10.1. Governing Law: These Terms are governed by the laws of the jurisdiction in which Doctours is registered, without regard to conflict of law principles.
10.2. Dispute Resolution: Disputes will be resolved through arbitration or as otherwise agreed by the parties. If litigation is necessary, you consent to the jurisdiction and venue in Doctours’ principal place of business.
11. Exclusivity
11.1. Non-Exclusivity: These Terms do not grant exclusivity. You may promote other businesses unless otherwise agreed upon in a separate, written agreement.
12. Modifications to the Terms
Doctours reserves the right to modify, update, or replace these Terms at any time. Notice of changes will be provided by posting updated Terms on our website or by other reasonable means. Continued participation after changes constitutes acceptance.
13. Severability and Waiver
If any provision of these Terms is found unlawful, void, or unenforceable, the remaining provisions remain in effect. Doctours’ failure to enforce a right or provision is not a waiver of that right or provision.
14. Entire Agreement
These Terms constitute the entire agreement between you and Doctours regarding the Program and supersede any prior agreements or understandings.
